<div> <div> <div>Please read these terms and conditions for the AFC Champions League 2022 Final (West Leg) Quiz contest (the “Contest”) prior to participating (the “Contest Terms”). </div> <div>By participating in the Contest, you hereby agree to be bound by these Contest Terms (and any amendments thereof) and represent and warrant that you satisfy all of the eligibility requirements set out herein.</div> <div>This Contest is organised by the Asian Football Confederation (“AFC”) in relation to the AFC Champions League 2022 (“Competition”). Any queries relating to the Contest shall be directed to the AFC only at acl.contest@the-afc.com.</div> <div> </div> <div>1. <strong>ELIGIBILITY</strong></div> <div>1.1. Entry to the Contest is open to all individuals who are eighteen (18) years of age and above as of 29 April 2023 (each, a “Participant”). Participants should be aware that a breach of this age requirement will result in the participant being automatically disqualified.</div> <div>1.2. Directors, officers, employees and committee members of the AFC, its commercial partners, agents, external service providers (related to this Contest) and immediate families of each respective party are not eligible to participate in the Contest.</div> <div>1.3. The contest is open to parties who reside in countries where entry in prize competitions of the nature set out herein is not a breach of their respective local laws.</div> <div> </div> <div>2. <strong> ACCOUNT REGISTRATION</strong></div> <div>2.1. On 29 April 2023, a quick response (‘QR’) code will be displayed next to the official Competition trophy display booth at the venue of the AFC Champions League 2022 Final (West Leg) (currently envisaged to be King Fahd Internal Stadium, Riyadh, the Kingdom of Saudi Arabia) (the “Match Venue”). To participate in the Contest, Participants are required to scan the QR code displayed at the Match Venue and register an account on the landing page on the AFC website, with the following information (each such registration, an “Account”):</div> <div>(a) first and last name;</div> <div>(b) email address;</div> <div>(c) country of residence; </div> <div>(d) address;</div> <div>(e) contact number; and</div> <div>(f) such other information as requested by the AFC. </div> <div>2.2. Each Participant shall only be allowed to participate once, using only one (1) registration Account. The AFC reserves the right to disqualify a Participant if it is found that the Participants are the same individual who has participated multiple times using multiple different Accounts. </div> <div>2.3. All details provided by the Participants during registration must be true, accurate and complete. </div> <div>2.4. The use of third-party data, names or nicknames which are considered indecent and/or offensive is strictly prohibited.</div> <div>2.5. Participants shall be solely responsible for all activities conducted on their respective Account and shall ensure that all Account details are kept confidential to avoid misuse or abuse by any third parties.</div> <div> </div> <div>3. <strong>CONTEST PERIOD</strong></div> <div>3.1. The Contest shall be organised from 16:30, 29 April 2023 to 20:00, 29 April 2023 in accordance with Arabian Standard Time (GMT+3) (“Contest Period”).</div> <div>3.2. Participants may register at any time during the Contest Period. </div> <div> </div> <div>4. <strong> PRINCIPAL RULES AND CONTEST MECHANICS</strong></div> <div>4.1. Participants will be required to answer one (1) multiple-choice question, designed to test their skills and knowledge of the Competition (the "Contest Question”). </div> <div>4.2. Participants will also be tested for speed in answering the Contest Question, and will therefore be recorded for time. The timer will commence when the Contest Question is displayed to the Participant, and will end upon the answer for the Contest Question being submitted by the Participant. </div> <div>4.3. Each set of one (1) answer to the one (1) Contest Question will be considered an “Entry”. All Entries must be submitted before the end of the Contest Period. </div> <div>4.4. Participants may not be permitted to change their Entry once submitted. Participants will only be entitled to submit one (1) Entry from their registered given Account. </div> <div>4.5. Any Entries received after the Contest Period will not be entertained. AFC shall not be responsible for Entries received late or lost in transmission due to any reasons whatsoever. Participants are therefore encouraged to register and submit their Entries well before the published deadlines.</div> <div> </div> <div>5. <strong> RANKING CRITERIA</strong></div> <div>5.1. Participants will be ranked on the basis of the correctness of their answer to the Contest Question in their Entries. Accordingly, the Participant who has answered Contest Question correctly in their Entry will be ranked highest. </div> <div>5.2. If two or more Participants have answered the Contest Question correctly in their Entry, then the Participant that has taken the shortest time to submit their Entry (recorded in the manner described in Clause 4.2) will be ranked higher. </div> <div>5.3. If two (2) or more Participants have answered the Contest Question correctly in their Entry, and have taken the same amount of time to submit their respective Entries, then the earlier of such Participants to have submitted their Entries during the Contest Period will be ranked higher. By way of example, if Participant A has answered the Contest Question correctly in their Entry and has submitted the Entry in 45 seconds on 17:10 29 April 2023 in accordance with Arabian Standard Time, and Participant B has answer the Contest Question correctly in their Entry and has submitted the Entry in 45 seconds on 17:20 29 April 2023 in accordance with Arabian Standard Time, then Participant A will be ranked higher than Participant B, since their entry was submitted earlier during the Contest Period (i.e., 17:10 29 April 2023 in accordance with Arabian Standard Time). </div> <div>5.4. No leader board showing the rank of each Participant will be publicly made available by the AFC. The AFC reserves the right to rank the Participants based on the criteria set out above and no correspondence or objections in this regard will be entertained. The decision of the AFC in this regard will be final. </div> <div> </div> <div>6. <strong> SELECTION OF WINNERS</strong></div> <div>6.1. The Participant who is ranked highest (i.e., no.1) based on the ranking criteria set out in Clause 5, will be declared the winner of the Contest (“Winner”). </div> <div>6.2. The AFC reserves the right to select the Winner based on the ranking criteria set out in Clause 5. The decision of the AFC will be final, and no correspondence will be entered into with any Participants in this regard. Should the Entries in any category fall below the standard required by the Contest, then the AFC reserves the right not to declare any winner.</div> <div>6.3. The Winner will be contacted by the AFC by email, on the email address submitted as part of the Account registration process. </div> <div>6.4. The AFC reserves the right to declare additional winners of the Contest on the basis of the ranking criteria set out in Clause 5 and award such additional winners such prizes as the AFC may determine in its sole discretion. The AFC’s decision in this regard shall be final and binding on all Participants.</div> <div>6.5. Participants acknowledge that a contest similar to this Contest will be conducted on 6 May 2023 in relation to the AFC Champions League 2022 Final (East Leg) (“ACL East Contest”). If a Participant wins a prize during this Contest, then such Participant shall not be eligible to be declared a Winner for ACL East Contest.</div> <div> </div> <div> </div> <div>7. <strong> PRIZES(S)</strong></div> <div>7.1. The Winner will be awarded one (1) signed jersey of such team as determined by the AFC in its sole discretion (the “Prize”). </div> <div>7.2. The Prize and its elements as listed in Clause 7.1 above will be subject to the Winner submitting such documentation as may be required by the AFC in order to verify identity of the Winner and to make the required delivery for the Prize elements.</div> <div>7.3. Winners shall be responsible for any taxes and any other expenses relating to the prize not specifically mentioned herein and all Prizes shall not be transferable or redeemable for cash. </div> <div>7.4. No substitution of the Prize shall be allowed except that the AFC may, at its sole discretion, substitute any element of the Prize at any time. </div> <div>7.5. Prizes cannot be used in conjunction with any other promotion or offer.</div> <div>7.6. Prizes have to be validly claimed by each Winner within seven (7) days from when the AFC contacts such Winner (as described in Clause 6.3), after which the Prize will be forfeited, or at the AFC’s discretion, an alternate winner will be selected.</div> <div>7.7. Due to applicable local laws, (without prejudice to the provisions of Clause 1.3) the AFC may not be able to award Prizes to Winners who are unable to utilise the Prizes. In such cases, the Prize shall be forfeited, or substituted with other prizes at the AFC’s sole discretion. The AFC’s decision in this regard will be final and binding on the Winners. </div> <div> </div> <div>8. <strong> PERSONAL DATA</strong></div> <div>8.1. We may share your personal data with affiliates of the AFC or with other third parties for administrative, business purposes and/or for cross-promotion. This may involve the storage, use, disclosure or other processing, or transfer of your personal data out of Malaysia or within Malaysia. Third parties receiving your personal data will be bound by requirements under the applicable Personal Data Protection legislation. </div> <div>8.2. By participating in this Contest, you hereby consent to: (a) the collection, use, disclosure, transfer, and processing of your personal data for the purposes of: (i) administering the Contest and selecting the Winner; and (ii) consumer research, marketing and promotions; (b) the AFC’s privacy policy (available at https://www.the-afc.com/en/more/privacy_policy.html) and the AFC’s Personal Data Protection Notice (PDPA) (available at: http://assets.the-afc.com/Misc/ACL2022_Quiz_PDPA.pdf); and (c) the AFC’s terms of service (available at https://www.the-afc.com/en/legal/terms__conditions.html). </div> <div> </div> <div>9. <strong> GENERAL CONDITIONS</strong></div> <div>9.1. By entering the Contest, each Participant agrees to be bound by these Contest Terms and by decisions of the AFC, which are final and binding as to all Contest-related matters. </div> <div>9.2. By entering this Contest and/or accepting any Prize you may win, you agree that: (a) you have all rights, permissions and consents necessary to grant the rights to AFC as expressed herein; (b) you will abide by and be bound by the Contest Terms and the AFC’s decision and any policies in relation thereto; (c) you release and hold harmless the AFC, its commercial agents and suppliers, and their respective officers, directors, shareholders, employees, agents or representatives from any and all liability for claims, injuries, losses or damages of any kind, including without limitation, death and bodily injury, resulting, in whole or in part, directly or indirectly, from your entry submission, the awarding, delivery, acceptance, use, misuse, possession, loss or misdirection of any Prize; participation in the Contest or any Contest-related activity or from any interaction with, or downloading of, computer Contest information.</div> <div>9.3. The Prize is awarded on an ‘as is’ basis and shall be without warranty of any kind, express or implied (including, without limitation, any implied warranty of merchantability or fitness for a particular purpose) and the AFC does not make any representation, warranty, or guarantee, express or implied, relating to the Contest or the Prize. </div> <div>9.4. A Winner’s acceptance of a Prize constitutes the grant to the AFC of an unconditional right to use, and authorise the AFC’s commercial partners to use, the winner's name, profile, image, voice, likeness, photograph, biographical and prize information and/or statements about the Contest for any programming, publicity, advertising, and promotional purposes without compensation, except where prohibited by law.</div> <div>9.5. In the event of circumstances beyond the reasonable control of the AFC such as without limitation viruses, bugs, unauthorized human intervention, acts of God, acts or regulations of any governmental or supra-national authority, war, national emergency, accident, fire, riot, strikes, lock-outs, industrial disputes, acts of terrorism , pandemic, epidemic, situations beyond control that would affect the security, fairness or proper play of the Contest, so that it cannot be conducted as originally planned, except where prohibited by law, the AFC has the right, in its sole discretion, to modify these Contest Terms or to cancel, modify, terminate or suspend the Contest; and in such event, to select the Winner by such method as the AFC may in its sole discretion consider equitable. </div> <div>9.6. By participating in the Contest, each Participant agrees that: (a) the AFC shall not be responsible for typographical or other errors in the offer or administration of this Contest, including without limitation any errors in the advertising, Contest Terms, selection of the Winner, and distribution of the prize; (b) any portion of any Prize not accepted or used by a Winner will be forfeited; (c) the AFC is not responsible for any inability of a Winner to accept or use a Prize (or any portion thereof) for any reason; and (d) the AFC shall not be liable financially in any aspect to the Winner and the Participants. The Participant also agrees that they shall not make the following statements regarding the AFC and/or the contest: (a) make inappropriate, illegal or offensive statements regarding the AFC and/or the Contest, (b) make religiously, culturally or politically insensitive statements, (c) defamatory or libellous statement, and (d) statements likely to tarnish the image and reputation of the AFC, its competition and stakeholders.</div> <div>9.7. The AFC has the right, at any time and at its sole discretion, to disqualify any individual it suspects to be doing any of the following: (a) tampering or attempting to tamper with the entry process or the operation of the Contest or the Application; (b) violating the Contest Terms; (c) violating the terms of service or other terms, conditions of use and/or general rules or guidelines of any AFC website, property or service; (d) acting in an unsportsmanlike, unethical or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person or (e) for any other good cause as determined solely by the AFC.</div> <div>9.8. As any attempt by any individual to damage the application or undermine the legitimate operations of this Contest or the application is a violation of these Contest Terms as well as criminal and civil laws, and should the AFC believe or become aware that such an attempt has been, is being, or will be made, it has the right to seek remedies and damages from any responsible individuals to the fullest extent permitted by law, including without limitation criminal prosecution.</div> <div>9.9. This Contest is governed in accordance with the laws of Malaysia. All disputes, claims and causes of action at law or in equity (individually, “Claim”) arising out of or relating to this Contest, the meaning or interpretation of the Rules or any prize awarded shall be resolved by applying the laws of Malaysia, without regard to conflict of laws provisions therein, and shall be solely and exclusively brought in the state or federal courts within Malaysia.</div> <div>9.10. All claims shall be resolved individually, without resort to any form of class action and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, but in no event include attorneys’ fees, and under no circumstances will any participant be permitted to obtain awards for, and hereby waives all rights to claim, punitive, incidental, special, consequential damages and any other damages, other than for actual out-of-pocket expenses and waives all rights to have damages multiplied or otherwise increased.</div> <div>9.11. The AFC has the right to modify Prize award procedures at its sole discretion and shall not be responsible for the cancellation, postponement, or unavailability of any Prize, and if such occurs, the Prize may be substituted with an alternate prize (as determined by the AFC in its sole discretion).</div> <div>9.12. The AFC is not responsible for any changes to any function that may interfere with the Contest or your ability to timely participate in the same.</div> <div>9.13. The AFC is not responsible for any failure of delivery of Winner notification.</div> <div>9.14. The AFC reserves the right at any time in its absolute discretion and without prior notice to: (a) to cancel, modify, suspend or delay the Contest; (b) to make changes to these Contest Terms, whereupon all Participants be bound by the terms and conditions as varied by the AFC; and/or (c) to substitute, withdraw or cancel any Prize without disclosing any reason thereof and without any payment or compensation whatsoever. </div> <div>9.15. These Contest Terms have been prepared in the English language, which language shall govern the interpretation and construction of these Contest Terms.
