<div> <div>Please read these terms and conditions for the NEOM Champions of Progress Contest (“Contest”) prior to participating (the “Contest Terms”).</div> <div> </div> <div>By participating in the Contest, you hereby agree to be bound by these Contest Terms (and any amendments thereof) and represent and warrant that you satisfy all the eligibility requirements set out herein.</div> <div> </div> <div>This Contest is organised by the Asian Football Confederation (“AFC”) on behalf of the NEOM Company, for the promotion of their brand, “NEOM”, in conjunction with the AFC Champions League 2023-24 (the “Competition”). For the avoidance of doubt, the AFC is only facilitating the organisation of the Contest and the selection of Winners in accordance with the terms and conditions set out herein. The AFC will not be responsible for fulfilment of any Prizes, which shall be the sole responsibility of NEOM Company.</div> <div> </div> <div>Any queries relating to the Contest shall be directed to the AFC only at: acl.contest@the-afc.com.</div> <div> </div> <div><strong>1. CONTEST PERIOD</strong></div> <div> </div> <div>1.1. The Contest will be conducted on the following social media platforms only (collectively, the “Contest Platforms”):</div> <div> </div> <div>a. Facebook;</div> <div>b. Instagram;</div> <div>c. X (formerly ‘Twitter’); and</div> <div>d. TikTok. </div> <div> </div> <div>1.2. The Contest will be conducted in the following phases in accordance with Greenwich Mean Time (GMT) (each a “Contest Phase”):</div> <div> </div> <div>a. Video Submission Phase: 12:00, 17 April 2024 to 23:59, 5 May 2024; and</div> <div>b. Fan Voting Phase: 12:00, 8 May 2024 to 23:59, 12 May 2024.</div> <div> </div> <div><strong>2. ELIGIBILITY</strong></div> <div> </div> <div>2.1. Entry to the Contest is open to all individuals who are eighteen (18) years of age and above as of 4 October 2023 and residing in any country in the “West” region of the AFC (each, a “Participant”). Participants should be aware that a breach of this age or location requirement will result in the Participant being automatically disqualified.</div> <div> </div> <div>2.2. Directors, officers, employees and committee members of the AFC, its commercial partners, agents, external service providers (related to this Contest) and immediate families of each respective party are not eligible to participate in the Contest.</div> <div> </div> <div>2.3. The Contest is open to parties who reside in countries where entry in prize competitions of the nature set out herein is not a breach of their respective local laws.</div> <div> </div> <div> </div> <div><strong>3. ACCOUNTS AND PARTICIPATION</strong></div> <div> </div> <div>3.1. To participate in the Contest, Participants are required to have a valid account on any one of the Contest Platforms.</div> <div> </div> <div>3.2. Each Participant shall only be allowed to participate once, using only one (1) Contest Platform. The AFC reserves the right to disqualify a Participant if it is found that the Participants are the same individual who has participated multiple times using multiple different Accounts on the same or different Contest Platforms.</div> <div> </div> <div>3.3. The use of third-party data, names or nicknames which are considered indecent and/or offensive is strictly prohibited.</div> <div> </div> <div>3.4. Participants shall be solely responsible for all activities conducted on their respective account.</div> <div> </div> <div> </div> <div><strong>4. PRINCIPAL RULES AND CONTEST MECHANICS</strong></div> <div> </div> <div>With respect to the Video Submission Phase:</div> <div> </div> <div>4.1. Participants who wish to participate in the Contest must upload a video from their respective accounts on one or more of the Contest Platforms and must comply with the following requirements:</div> <div> </div> <div>4.1.1. Each video must showcase the Participant performing the following progression of football skills in the same video:</div> <div> </div> <div>a. “keepie-uppies”; AND</div> <div>b. “keepie-uppies” progressing into a shot; AND</div> <div>c. “keepie-uppies” progressing into a special skill (of the Participant’s choosing) and then progressing into a shot.</div> <div> </div> <div>4.1.2. The relevant video must be posted before the end of the Video Submission Phase of the Contest from the relevant Participant’s account on one or more of the Contest Platforms.</div> <div> </div> <div>4.1.3. The relevant post containing the Participant's video submission must contain the Contest hashtag “#NEOMChampionsOfProgress”. </div> <div> </div> <div>4.1.4. The relevant post must be made accessible to the general public.</div> <div> </div> <div>4.1.5. Video orientation must be portrait (i.e., vertical).</div> <div> </div> <div>4.1.6. The video must not contain any controversial matters/materials, commercial or third-party products/sources, anything that is disparaging or affects the image/reputation of the AFC, AFC competitions and football.</div> <div> </div> <div>A valid entry must comply with each of the above listed requirements (each such complete entry, an “Entry”). Failure to conform to the above requirements shall result in the relevant Entry being deemed invalid.</div> <div> </div> <div>4.2. By participating in this Contest, each Participant provides irrevocable consent in perpetuity for the AFC to use all or any Entries (where such Participant has submitted an Entry applicable) for any purposes, including granting its commercial partners the right to use the Entries for any purposes.</div> <div> </div> <div>With respect to the Fan Voting Phase:</div> <div>4.3. On completion of the Video Submission Phase, the AFC will shortlist five (5) Entries for the Fan Voting Phase (each a “Shortlisted Entry”). Each Shortlisted Entry will be selected by the AFC on the basis of the skill and quality of progression of football skills in the relevant Video Entry, innovativeness, ingenuity, creativity, and content quality. The AFC’s decision in this regard shall be final and binding on all Participants.</div> <div> </div> <div>4.4. The AFC shall reach out to the Participants who have submitted the Shortlisted Entries via direct message on the relevant Contest Platforms for such Participants to provide the video files of their respective Entries to the AFC, for the purpose of conducting the Fan Voting Phase. If no response is received within twenty-four (24) hours of the AFC first contacting the relevant Participant, then the relevant Participant shall automatically forfeit his/her eligibility to participate in the Fan Voting Phase and the AFC may (at its discretion), select a different Shortlisted Entry, or proceed to conduct the Fan Voting Phase with fewer than five (5) Shortlisted Entries.</div> <div> </div> <div>4.5. For the avoidance of doubt, the AFC will not announce the Shortlisted Entries prior to the commencement of the Fan Voting Phase.</div> <div> </div> <div>4.6. The AFC shall post the Shortlisted Entries through its account on Instagram (available at www.instagram.com/theafchub), upon commencement of the Fan Voting Phase. The general public will then be invited to vote for their favourite videos by clicking the “like” button in relation to the relevant Shortlisted Entry. For the avoidance of doubt, no prizes shall be awarded to participants for voting for their preferred Shortlisted Entry.</div> <div> </div> <div> </div> <div><strong>5. SELECTION OF THE WINNER</strong></div> <div> </div> <div>5.1. The Participant who has submitted the Shortlisted Entry that has received the highest number of votes at the end of the Fan Voting Phase shall be declared the winner of the Contest (“Winner”). In the event two (2) or more Shortlisted Entries receive the same number of votes at the end of the Fan Voting Phase, then the Shortlisted Entry which has been submitted earlier during the Video Submission Phase of the Contest will be ranked higher.</div> <div> </div> <div>5.2. The AFC reserves the right to select the Winner based on the ranking criteria set out in Clause 5.1. The decision of the AFC will be final, and no correspondence will be entered into with any Participants in this regard. Should the Entries fall below the standard required by the AFC for the Contest, then the AFC reserves the right not to declare any Winners.</div> <div> </div> <div>5.3. The Winner will be contacted by the AFC by direct message on the relevant Contest Platform through which the winning Shortlisted Entry was submitted. The Winner must respond within forty-eight (48) hours of first being contacted by the AFC in order to claim the Prize, failing which the Prize shall be forfeited. The AFC reserves the right to then declare a different winner. The AFC’s decision in this regard shall be final and binding on all Participants.</div> <div> </div> <div> </div> <div><strong>6. PRIZES </strong></div> <div> </div> <div>6.1. The Winner will be awarded the following, for use by himself/herself and their chosen companion:</div> <div> </div> <div>a. Return economy international flight tickets to, and hotel accommodation for two (2) nights as determined by NEOM Company at its discretion, at the location of the West-leg of the final of the AFC Champions League 2023-24. The flight and accommodation dates shall be determined by NEOM Company. International flight tickets would not be applicable if the Winner is a resident of the relevant country where the West-leg of the final of the AFC Champions League 2023-24. Flight tickets are non-exchangeable or refundable.</div> <div> </div> <div>b. Two (2) Zone A match tickets for the West-leg of the final of the AFC Champions League 2023-24.</div> <div> </div> <div>c. Transportation from and to the airport at each city. For the avoidance of doubt, no transportation will be provided from the hotel to the match stadium, and the Winner and their companion must arrange for this same themselves.</div> <div> </div> <div>6.2. The Prizes and their respective individual elements as listed in Clauses 6.1 above will be subject to the following conditions:</div> <div> </div> <div>a. The respective Winner and their guest must submit such documentation as may be required by the AFC in order to verify identities of the individuals and to make the required bookings for the Prize elements;</div> <div> </div> <div>b. All travel and accommodation are subject to availability. If any class of travel, mode of travel or class of accommodation is not available, then the AFC reserves the right to determine and provide an alternative class of travel, mode of travel or class of accommodation, as determined in the AFC’s sole discretion;</div> <div> </div> <div>c. Any costs incurred in relation to the Prize elements shall be incurred at the Winner’s and their guest’s expense, including without limitation with respect to airport transfers, local transportation, meals, hotel room service, hotel room security deposit, laundry service, alcoholic beverages, merchandise, souvenirs, local and long distance telephone calls, mobile and data roaming, tips, service charges, taxes, and all other charges which relate to any items which are not the Prize elements specifically described in Clause 6.1;</div> <div> </div> <div>d. Travel insurance is not included. The Winner and their guest will be responsible for arranging adequate travel insurance before travelling as per their needs and for the entire duration of the Prize. The AFC will not be liable for any costs or losses through the Winner’s and their guest’s failure to take out adequate insurance cover;</div> <div> </div> <div>e. The respective Winner will be responsible for his/her own passport, travel insurance, medical insurance, visa requirements and any other documentation and/or regulatory requirements at the port of departure or the port of arrival, and any medical and security clearances including COVID-19 testing (if required), requirements and/or protocols; and</div> <div> </div> <div>f. The Prize elements will be subject to the Winner and their guest complying with all local laws, regulations, and requirements. The AFC will not be liable in any way for any failure by the Winner or their guest to do so.</div> <div> </div> <div>6.3. The Prizes shall not be transferable or redeemable for cash.</div> <div> </div> <div>6.4. No substitution of the Prizes shall be allowed except that the AFC may, at its sole discretion, substitute any element of the Prize at any time.</div> <div> </div> <div>6.5. The Prizes cannot be used in conjunction with any other promotion or offer.</div> <div> </div> <div>6.6. The Prizes must be validly claimed by the Winner within forty-eight (48) hours from when the AFC contacts such Winner (as described in Clause 5.3), after which the Prize will be forfeited, or at the AFC’s discretion, an alternate winner will be selected.</div> <div> </div> <div>6.7. Due to applicable local laws (without prejudice to the provisions of Clause 2.3) the AFC may not be able to award certain Prizes to a Winner who is unable to utilise the Prize, including those who are unable to enter the country or city where the Competition is located. In such cases, the Prize shall be forfeited, or substituted with other prizes at the AFC’s sole discretion. The AFC’s decision in this regard will be final and binding on the Winner.</div> <div> </div> <div><strong>7. PERSONAL DATA</strong></div> <div> </div> <div>7.1. We may share your personal data with affiliates of the AFC or with other third parties for administrative purposes and/or business purposes. This may involve the storage, use, disclosure or other processing, or transfer of your personal data out of Malaysia or within Malaysia. Third parties receiving your personal data will be bound by requirements under the applicable Personal Data Protection legislation.</div> <div> </div> <div>7.2. By participating in this Contest, you hereby consent to: (a) the collection, use, disclosure, transfer, and processing of your personal data for the purposes of administering the Contest and selecting the Winner; (b) the AFC’s privacy policy (available at https://www.the-afc.com/en/more/privacy_policy.html) and the AFC’s Personal Data Protection Notice (PDPA) (available at: https://assets.the-afc.com/2023-24_ACL/Downloads/AFC-Champions-League-2023:24-PDPA.pdf; and (c) the AFC’s terms of service (available at https://www.the-afc.com/en/legal/terms__conditions.html).</div> <div> </div> <div><strong>8. GENERAL CONDITIONS</strong></div> <div> </div> <div>8.1. By entering the Contest, each Participant agrees to be bound by these Contest Terms and by decisions of the AFC, which are final and binding as to all Contest-related matters.</div> <div> </div> <div>8.2. By entering this Contest and/or accepting any Prize you may win, you agree that: (a) you have all rights, permissions and consents necessary to grant the rights to AFC as expressed herein; (b) you will abide by and be bound by the Contest Terms and the AFC’s decision and any policies in relation thereto; (c) you release and hold harmless the AFC, its commercial agents and suppliers, and their respective officers, directors, shareholders, employees, agents or representatives from any and all liability for claims, injuries, losses or damages of any kind, including without limitation, death and bodily injury, resulting, in whole or in part, directly or indirectly, from your entry submission, the awarding, delivery, acceptance, use, misuse, possession, loss or misdirection of any Prize; participation in the Contest or any Contest-related activity or from any interaction with, or downloading of, computer Contest information.</div> <div> </div> <div>8.3. The Prize is awarded on an ‘as is’ basis and shall be without warranty of any kind, express or implied (including, without limitation, any implied warranty of merchantability or fitness for a particular purpose) and the AFC does not make any representation, warranty, or guarantee, express or implied, relating to the Contest or the Prize.</div> <div> </div> <div>8.4. A Winner’s acceptance of a Prize constitutes the grant to AFC of an unconditional right to use, and authorise the AFC’s commercial partners to use, the winner's name, profile, image, voice, video, likeness, photograph, biographical, and prize information and/or statements about the Contest for any programming, publicity, advertising, marketing and promotional purposes without compensation, except where it is prohibited by law.</div> <div> </div> <div>8.5. In the event of circumstances beyond the reasonable control of the AFC such as without limitation viruses, bugs, unauthorized human intervention, acts of God, acts or regulations of any governmental or supra-national authority, war, national emergency, accident, fire, riot, strikes, lock-outs, industrial disputes, acts of terrorism , pandemic, epidemic, situations beyond control that would affect the security, fairness or proper play of the Contest, so that it cannot be conducted as originally planned, except where prohibited by law, the AFC has the right, in its sole discretion, to modify these Contest Terms or to cancel, modify, terminate or suspend the Contest; and in such event, to select the Winner by such method as the AFC may in its sole discretion consider equitable.</div> <div> </div> <div>8.6. By participating in the Contest, each Participant agrees that: (a) the AFC shall not be responsible for typographical or other errors in the offer or administration of this Contest, including without limitation any errors in the advertising, Contest Terms, selection of the Winner, and distribution of the prize; (b) any portion of any Prize not accepted or used by a Winner will be forfeited; (c) the AFC is not responsible for any inability of a Winner to accept or use a Prize (or any portion thereof) for any reason; and (d) the AFC shall not be liable financially in any aspect to the Winner and the Participants. The Participant also agrees that they shall not make the following statements regarding the AFC and/or the contest: (a) make inappropriate, illegal, or offensive statements regarding the AFC and/or the Contest, (b) make religiously, culturally or politically insensitive statements, (c) defamatory or libellous statement, and (d) statements likely to tarnish the image and reputation of the AFC, its competition and stakeholders.</div> <div> </div> <div>8.7. The AFC has the right, at any time and at its sole discretion, to disqualify any individual it suspects to be doing any of the following: (a) tampering or attempting to tamper with the entry process or the operation of the Contest or the Application; (b) violating the Contest Terms; (c) violating the terms of service or other terms, conditions of use and/or general rules or guidelines of any AFC website, property or service; (d) acting in an unsportsmanlike, unethical or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person or (e) for any other good cause as determined solely by the AFC.</div> <div> </div> <div>8.8. As any attempt by any individual to damage the application or undermine the legitimate operations of this Contest or the application is a violation of these Contest Terms as well as criminal and civil laws, and should the AFC believe or become aware that such an attempt has been, is being, or will be made, it has the right to seek remedies and damages from any responsible individuals to the fullest extent permitted by law, including without limitation criminal prosecution.</div> <div> </div> <div>8.9. This Contest is governed in accordance with the laws of Malaysia. All disputes, claims and causes of action at law or in equity (individually, “Claim”) arising out of or relating to this Contest, the meaning or interpretation of the Rules or any prize awarded shall be resolved by applying the laws of Malaysia, without regard to conflict of laws provisions therein, and shall be solely and exclusively brought in the state or federal courts within Malaysia.</div> <div> </div> <div>8.10. All claims shall be resolved individually, without resort to any form of class action and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, but in no event include attorneys’ fees, and under no circumstances will any participant be permitted to obtain awards for, and hereby waives all rights to claim, punitive, incidental, special, consequential damages and any other damages, other than for actual out-of-pocket expenses and waives all rights to have damages multiplied or otherwise increased.</div> <div> </div> <div>8.11. The AFC has the right to modify Prize award procedures at its sole discretion and shall not be responsible for the cancellation, postponement, or unavailability of any Prize, and if such occurs, the Prize may be substituted with an alternate prize (as determined by the AFC in its sole discretion).</div> <div> </div> <div>8.12. The AFC is not responsible for any changes to any function that may interfere with the Contest or your ability to timely participate in the same.</div> <div> </div> <div>8.13. The AFC is not responsible for any failure of delivery of Winner notification.</div> <div> </div> <div>8.14. The AFC reserves the right at any time in its absolute discretion and without prior notice to: (a) to cancel, modify, suspend or delay the Contest; (b) to make changes to these Contest Terms, whereupon all Participants be bound by the terms and conditions as varied by the AFC; and/or (c) to substitute, withdraw or cancel any Prize without disclosing any reason thereof and without any payment or compensation whatsoever.</div> <div> </div> <div>8.15. These Contest Terms have been prepared in the English language, which language shall govern the interpretation and construction of these Contest Terms. Any translation of these Contest Terms shall be for reference purposes only, and the English language version shall always prevail in the case of any inconsistencies between the English language version and any translations thereof.</div> </div>
